Addendum A: Eastern European Markets
With EU Headquarters or Non-EU Headquarters Operating in EU Jurisdiction
1. Country-Specific Freelancer Requirements
Target Countries:
- Poland | Romania | Hungary | Czech Republic | Bulgaria | Slovakia | Baltic States
Legal Compliance:
- GDPR Alignment: Freelancers must comply with EU data protection laws, even if clients are non-EU.
- Local Labor Laws: Adhere to country-specific regulations (e.g., Poland’s “Umowa o Dzieło” for freelance contracts).
- VAT Handling: For non-EU clients, reverse-charge VAT applies; for EU clients, VAT invoicing follows local rates.

2. Currency & Payment Structures

- Exchange rate protection: Fluctuations >10% trigger renegotiation.

- Fee Structure:
- BERTRAMS commission: 15% of freelancer fees.
- Non-EU client surcharge: +5% for currency hedging.

This updated Addendum B integrates GDPR/CCPA-compliant data processing agreements, aligns with Addendum A, and enforces platform-centric collaboration using Bertrams.app, Bertrams.academy, and Bertrams-coordinating-complexity.com. It establishes clear accountability, scalable compliance, and future-proof practices to ensure seamless project execution across all stakeholders.
1. Scope & Purpose
This addendum governs the management of Sub-Teams by Main Freelancers under BERTRAMS contracts. Main Freelancers assume full legal and financial responsibility for their Sub-Teams’ compliance with:
- The primary contract with BERTRAMS |COORDINATING COMPLEXITY|.
- Regional Addenda (A, B, or C).
- Platform rules on Bertrams.app and Bertrams.academy.
2. Key Definitions
- Main Freelancer: Lead contractor responsible for supervising Sub-Team Members.
- Sub-Team Member: Individual/entity engaged by the Main Freelancer to assist in project delivery.
- Platform: Includes Bertrams.app (tools like Fluent Boards, SureTriggers) and Bertrams.academy (training modules).
3. Main Freelancer Responsibilities
3.1 Compliance Assurance
- Ensure all Sub-Team Members sign a GDPR/CCPA-compliant Sub-Team Compliance Agreement (Annex 1) before accessing the Platform.
- Verify qualifications, certifications, and legal eligibility to work for all Sub-Team Members.
3.2 Sub-Team Onboarding
Provide Sub-Team Members with:
- Access to mandatory training on GDPR/CCPA compliance and anti-fraud protocols via Bertrams.academy.
- Role-specific permissions on Bertrams.app (e.g., “Junior Developer” access).
3.3 Access Management
- Use Fluent Boards for task assignment and progress tracking.
- Revoke Platform access immediately for non-compliant Sub-Team Members.
3.4 Training & Oversight
- Conduct quarterly compliance reviews using SureTriggers-generated audit reports.
- Escalate unresolved issues to BERTRAMS within 48 hours.
4. Sub-Team Obligations
4.1 Contractual Compliance
Sub-Team Members must adhere to:
- The primary contract terms and regional Addenda (A, B, or C).
- GDPR/CCPA-compliant data processing agreements (Annex 2).
- Platform usage rules (e.g., no unauthorized data exports).
4.2 Confidentiality & Security
- Sign NDAs for client data accessed via Bertrams.app.
- Use AES-256 encryption tools for sensitive file transfers.
4.3 Prohibited Actions
- Sharing login credentials or using Platform tools for non-BERTRAMS projects is strictly forbidden.
5. Access & Permissions
5.1 Platform Access
Main Freelancers must request Sub-Team access via the “Team Management” plugin on Bertrams.app. Access levels include:
- Restricted roles (e.g., “Analyst” vs. “Project Lead”).
- Activity monitoring through Fluent Boards dashboards.
5.2 Revocation Rights
BERTRAMS reserves the right to suspend Sub-Team access if:
- Non-compliance with Addendum terms occurs.
- Security risks are identified (e.g., failed GDPR audits).
6. Payment Terms
6.1 Fee Structure
- Main Freelancer retains 70% of total Sub-Team fees; BERTRAMS retains 30% for compliance oversight and administrative costs.
- Payments to Sub-Team Members are managed directly by the Main Freelancer under agreed terms.
6.2 Invoicing & Disputes
- All hours logged via Bertrams.app’s time-tracking plugins must be invoiced through BERTRAMS systems.
- Disputes resolved through BERTRAMS mediation (€150/hour arbitration fee).
7. Liability & Dispute Resolution
7.1 Liability
Main Freelancers are fully liable for breaches by their Sub-Team (e.g., data leaks, contract violations). BERTRAMS is not responsible for payment disputes between Main Freelancers and their Sub-Team Members.
7.2 Dispute Escalation
Unresolved disputes are escalated to ICC arbitration under shared costs.
8. Integration with Regional Addenda
Addendum A (EU Markets):
Sub-Teams must comply with GDPR protocols and local VAT rules.
Addendum C (BERTRAMS-Web-Services):
Sub-Team Members require User certifications by Main-Freelancers.
9. Termination
BERTRAMS may terminate Sub-Team access in cases of:
- Repeated compliance failures or fraudulent activity.
- Immediate termination for security risks.
- Notice period: 7 days for non-critical breaches.
10. Post-Termination Obligations
Upon termination, Sub-Team Members must:
- Return all client data securely.
- Delete Platform credentials.
- Provide completion certificates for required training modules.
11. Confidentiality & Data Protection
All parties must adhere to Annex 2 (Data Processing Agreement), ensuring compliance with GDPR/CCPA standards.
Penalty: €10,000 per breach + legal fees.
12. Governing Law
EU Projects: Governed by German law under exclusive jurisdiction in Papenburg courts.
Non-EU Projects: Governed by ICC rules.

3. Project Governance
3.1 Steering Committee
A joint committee with representatives from the Client Leadership Team, BERTRAMS Board Members, and key freelancers/experts pending on project phase, where experts will oversee project progress and explain strategic decisions.
3.2 Communication Protocol
Regular meeting schedules, reporting structures, and communication channels will be established and aligned with project management teams.
4. Engagement of Freelance Experts
4.1 Selection Process
BERTRAMS will identify and propose suitable freelance experts based on project requirements. The Client retains the right to approve or reject proposed experts.4.2 Work Orders
Individual work orders will be issued for each freelance expert, specifying their scope of work, deliverables, and compensation.
5. Intellectual Property and Confidentiality
5.1 Ownership of Deliverables
All project deliverables will be the property of the Client.5.2 Confidentiality
All parties agree to maintain strict confidentiality regarding project information and client data.
6. Compensation and Payment Terms

12. Currency Clause and Exchange Rate Protection
12.1 General Provisions
- All payments under this Agreement shall be made exclusively in Euro (EUR).
- Flexibility Clause: While Euro is the primary currency for this contract, parties may negotiate the use of alternative currencies on a case-by-case basis, subject to mutual agreement and written confirmation.
- All invoices shall be issued in Euro (EUR) and shall state the ECB reference exchange rate valid at the date of the main contract signature with the customer.
12.2 Exchange Rate Protection
- Base Exchange Rate: [CURRENCY/EUR] = [RATE] as of [CONTRACT DATE]
- For Customer Agreements: If more than 30% of the contract volume is affected by currency fluctuations exceeding 15%, the Customer shall bear 50% of the additional costs resulting from such fluctuations. The adjustment shall be calculated quarterly based on the ECB reference rates.
12.3 Risk Sharing Mechanism
- Currency fluctuations shall be monitored monthly.
- Adjustments shall be made quarterly if applicable.
- The parties agree to renegotiate in good faith if severe currency fluctuations occur.
12.4 Force Majeure
Severe currency fluctuations exceeding 30% within 30 days shall be considered a force majeure event.
